Profile

Staff Counsel Duties: Provide legal support to Bank Solutions division, encompassing the division’s full portfolio of processing solutions. Negotiating client, vendor, and other related agreements; providing counsel to sales, account management, product, implementation, and technology leaders on legal matters; and liaising with company specialists regarding intellectual property, technology, privacy, security, regulatory, employment, and litigation matters. Work directly with business unit executives to prepare, review, and negotiate all contracts required by the business, including client agreements, vendor agreements, and other related agreements. Provide consultation and legal advice with respect to strategic initiatives, technology projects, customer and vendor contracts, intellectual property, human resources, dispute resolution, regulatory matters, corporate policies and procedures, and administration. Review enterprise risk issues and participate in risk mitigation and escalation processes. Maintain knowledge of industry best practices, and keep abreast of proposed and existing legislation related to operations of the division and advise the business accordingly. Work closely with, and provide guidance and training to, contract specialists. Develop and maintain forms of contracts and other legal documentation.

Qualification and Experience

Qualifications: Undergraduate degree. Law degree from a law school approved by the American Bar Association or proper state authorities. Appropriate license to practice law. 5+ years’ progressive legal experience required; combination of law firm and in-house experience preferred. Transactional and commercial contracting experience required, preferably with an emphasis on technology contracts. Ability to clearly and effectively communicate verbally and in writing with internal and external parties. Strong analytical and decision-making skills. Ability to investigate complex business problems; develops effective recommendations, negotiate solutions, and resolve issues in a professional manner.
