Legal Counsel The candidate will be responsible for drafting, reviewing and negotiating contracts and related documents for large, complex technology, product and service transactions. Primary responsibilities: Draft, review and negotiate contracts and related documents for large, complex technology, product and service transactions. Structure, negotiate and execute inter-company transactions in support of a complex corporate model that outsources its operations and technology to various affiliates. Address all regulatory issues (primarily Regulation W) arising from such transactions. Provide oversight and direction of the process for legal review and negotiation of technology and service contracts. Work with Third Party Provider Risk Management to establish and maintain standards for determining transaction-specific exceptions to standard contract terms. Provide counsel on corporate governance issues, in particular, with regard to third party relationships, privacy and data security. Such governance includes adherence to requirements set forth in addressed in OCC Bulletin 2013-29, CFPB Bulletin 2013-03, and Federal Reserve Guidance on Managing Outsourcing Risk 12.5.13, among others. Support the development and continued enhancement of standard contract forms to address changing regulatory requirements, business needs and industry standards.
Qualification and Experience
The candidate should have Bachelors or equivalent; Juris Doctorate degree or equivalent from an accredited law school. Should have 10+ years of experience practicing in a law firm or in-house corporate environment in banking or the financial services industry. Active and current license to practice law in a state within the Bank’s footprint. Advanced Microsoft Office (Outlook, Word, Excel & PowerPoint) and Sharepoint experience. Experience interacting with internal clients and senior management. Excellent written/verbal communication, interpersonal and presentation skills. Strong drafting and negotiation skills.
