CBPS - Senior Legal Counsel Duties: Will advise management on legal, regulatory and franchise matters associated with assigned business activities in the country. Will be expected to ensure that CBPS is appropriately addressing legal, regulatory and franchise risks in the country. Will be reporting to the Site Head, with functional reporting line to the company's Country Legal Counsel. Assist in governance of the assigned business. Legal and regulatory risks: develop a broad understanding of the business in the country and of the major legal and regulatory risks facing that business; advise (or arrange for the provision of legal advice by other internal or external counsel to) management on legal and regulatory risks affecting the businesses and help ensure that company is appropriately addressing those risks. Monitoring of developments: assure that key legal and regulatory developments that may impact or otherwise be relevant to the business in the country – including those involving other financial institutions – are appropriately monitored and that management is apprised of significant developments. Control responsibilities: together with the other control functions, assist in advising management on the controls and processes necessary to help ensure that business activities comply with applicable laws and company's policies and standards of doing business. Strategic initiatives and new businesses: advise management on the legal, regulatory and franchise issues associated with strategic initiatives and new businesses in the country. Board governance: advise management on company and banking law requirements generally in respect of the corporate governance for assigned legal entities in the country, including the legal and regulatory requirements that impact the function, composition, meeting frequency, agendas, and resolutions of the boards of directors of those legal entities. Working with regulators: work closely with the Country Counsel and the local heads of other control functions to facilitate a robust, ongoing and productive dialogue with local regulatory authorities. Labor relations, litigation matters, enforcement proceedings and external investigations: play a leading role in overseeing labor relations and litigation matters, enforcement proceedings and external investigations involving operations of assigned business – and keep management and the Country Counsel informed of significant developments in those matters; coordinate with internal and external counsel (as well as other company's control functions) in the handling of those matters, as appropriate. Escalation of franchise issues and concerns: escalate any concerns regarding legal, regulatory or franchise issues, including any concerns about the possible conflict between company's global policies and local legal or regulatory requirements; this escalation should occur up the functional legal chain (and, as appropriate, to senior business management in the country) in a timely manner to help ensure that the matter is properly handled and that appropriate responsive actions may be taken. Other specified responsibilities: assume such other responsibilities as the Country Counsel (or his or her designee) may specify, including serving as the general counsel for a specific business in the country and/or the general counsel of a specific legal entity in the country.
Qualification and Experience
Qualification Requirements: A Bachelor of Laws and successfully passed Bar Examination. Updated Mandatory Continuing Legal Education (MCLE) compliance. 7+ years of relevant work experience gained from a law firm and/or financial/corporate sector; good understanding and experience in labor law is an advantage. Very good understanding of legal and regulatory requirements/developments in the country. Excellent communication and interpersonal skills.
