Senior Counsel, Executive Compensation and HR Transactions Duties: Be the corporate legal expert for compensation and executive compensation matters globally and also will take the lead on employment and benefits law issues for merger and acquisition and other transactional projects. Provide expert legal and compliance advice on the full range of executive and other compensation matters globally, including compensation plan design, deferred compensation, equity compensation plans, severance plans, incentive and sales compensation, disclosure and proxy issues, compensation risk assessment, and related tax, governance, disclosure and fiduciary issues. Assist with preparation of materials for meetings of the Compensation Committee of the Board of Directors, including drafting resolutions, minutes, plan amendments, agreements, and background documents. Lead drafting process for the Compensation Discussion & Analysis and related materials for 3M’s proxy, in collaboration with a cross-functional team of subject matter experts in Legal, Finance, and Human Resources. Provide advice and drafting support as needed for other SEC filings and disclosures relating to benefits and compensation plans. Provide legal support to M&A and other transactional projects on employment, compensation and benefits, and key employee issues, from the initial due diligence process through drafting and completion of transaction documents, and into integration. Serve as primary lawyer to the Human Resources M&A/Transitions organization. Ensure global tax and legal compliance of global equity and pension plans. Analyze legal developments and trends in all areas of responsibility and develop and provide training and tools for HR and legal colleagues.

Qualification and Experience

Qualifications: J.D. degree from an accredited law school. 5+ combined years of firm and/or in-house legal experience focused on executive compensation, employee benefits or employment law matters. Admitted or eligible for admission to practice law in Minnesota within 6 months of hire. 8+ years of law firm and/or in-house legal experience, focused on employment, ERISA, executive and equity compensation, governance, and/or tax matters; experience handling employment, compensation or benefit issues in M&A transactions involving public companies; experience handling disclosure issues relating to executive and equity compensation at public companies. Experience advising HR and business leaders, including at executive levels. Highly effective written and verbal communications skills; ability to communicate and relate at all levels of the organization including board members, executive management, HR leaders and subject matter experts, business leaders, and other constituents; ability to explain complex issues in a persuasive and winning manner. High energy, proven collaboration skills, ability to multitask, and commitment to working as part of a business and legal team dedicated to responsive client service.
