Legal Counsel The candidate will report to the General Counsel and will assist in the corporate, legal and compliance affairs of the company. Will draft and negotiate sales agreements, purchase agreements, supply agreements, confidentiality agreements, and other routine agreements. Support the continuous improvement of standard form agreements and legal processes. Contract management: develop workflows, databases; maintain files. Identify potential legal issues related to business practices and policies, and advise on legal issues to all levels of management and staff. Manage contract breaches and disputes. Collaborate with the Compliance team to provide counsel related to various matters involving healthcare professional relations, off-label promotion, and other areas of compliance risk for the Company. At the direction of the Compliance team, investigate potential areas of risk, and draft memos related thereto. Support the continuous improvement of standard form agreements and Compliance processes. Manage litigation at the direction of the General Counsel, including managing discovery and correspondence with outside counsel. Manage litigation database; track filing deadlines; prepare litigation reports. Coordinate litigation holds and discovery (electronic and paper), working closely with other departments as needed. Assist with responses to subpoenas, document and deposition requests. At the direction of the General Counsel, provide counseling and advice to Human Resources on various matters as needed. Review and provide advice on non-compete and related matters. Manage departing employee obligations to the Company. Conduct legal research and prepare memoranda: research and analyze legal sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions and legal codes; investigate facts and laws to determine basis for causes of action in the areas of intellectual property, product liability and general commercial litigation. Assist with the preparation and filing of securities filings such as Form 8-Ks, Proxy Statements, etc. Draft letters and other correspondences. Assist with due diligence. Handle special projects as requested. Perform other duties as assigned.
Qualification and Experience
The candidate should have a J.D. degree and admission to a State Bar, preferably Texas. Must have 3+ years of relevant experience. Prior experience in the biotechnology, pharmaceuticals, or medical device industries preferred. Should be proficient in MS Word, Excel and PowerPoint, able to type at least 65 words per minute. Must have the ability to fluently speak, read, write, and understand the English language. Ability to speak French, Portuguese, Spanish, or Mandarin a plus. Understanding of legal research methodologies is required.
