Attorney Duties: Provides in-house legal counsel on a wide range of matters, especially those supporting (a) legal transactions and (b) construction matters. Supports the Sr. Director of Legal Services with transaction workload and contracts, research, and advice. Interacts with customers, as well as a broad spectrum of internal departments, including Construction, Product Development, Sales, Marketing, Client Services, Solutions Engineering, IT Operations and Engineering, Critical Facilities Operations, Human Resources, and Finance. Handles sensitive situations tactfully yet firmly, being assertive without being adversarial, and taking unpopular positions when necessary, while maintaining trust and credibility. Regular, predictable attendance is essential for satisfactory performance. Primary point of contact for the Company’s Construction Department regarding legal matters. Establishes multi-year competitive ‘Framework’ agreements for all outsourced construction services. Will document the contractual, legal, and commercial agreements with the Company’s supply base to enable fast execution of new project activity at a competitive price. Responds to complex inquiries from Construction Department regarding contractual obligations, commitments, and revisions; ensures that all construction contractual matters are addressed efficiently and promptly. Manages the RagingWire construction contract risk profile. Ensures that risk items (e.g. Limitations of Liability, Indemnities, Insurance and Bonding, Liquidated Damages, etc.) are consistent with Company policy and aligned with contract language. Drafts, negotiates, and reviews other contracts for the Company, including agreements relating to customers, vendors, real estate leases, consulting, and confidentiality, while ensuring compliance to corporate objectives and regulatory compliance. Provides analysis and advice on various legal matters for the Company. Anticipates, guards against, provides timely evaluation and guidance of, and proposes mitigation strategies for and advises management of potential risks in contractual, regulatory, compliance, financial, and legal areas. Coordinates and manages outside counsel and litigation and independent auditors as assigned. Oversees corporate governance issues as assigned. Serves as back-up to Sr. Director of Legal Services. Performs other related duties as assigned.

Qualification and Experience

Qualifications: JD Degree from an accredited law school. Current member in good standing of the Virginia State Bar. 5-8 years’ relevant legal experience at a law firm and/or as an in-house Attorney, including 3-5 years’ experience in contract management and construction projects. Data center industry preferred. Demonstrated ability to negotiate complex service level agreements and deliverables. Experience in construction-related contracts and vendors. Strong working knowledge of contract types (including GMP’s), structures, components, language and payment methodologies. Strong commercial experience in sales contracts. Demonstrated experience negotiating and drafting commercial transactions. Experience with revenue recognition and other accounting issues that arise in commercial transactions. Strong background in drafting and negotiating services agreements, service level agreements, sales contracts, licenses and intellectual property agreements. Effective verbal and written communication skills in English in all interactions with senior management, corporate departments and all levels of employees. Developed business acumen, with ability to understand the company’s business and anticipate the nature and magnitude of issues that could arise in various settings. Demonstrated experience advising clients in structuring complex commercial transactions. Strong proficiency with MS Office Suite (Word, Excel, PowerPoint, Project). Able to combine legal and business analysis and judgment in a practical manner when making recommendations. Excellent strategic, organizational, presentation and counseling skills, with the ability to follow through independently on numerous projects simultaneously while under deadline pressure. Ability to work well both independently and as part of a highly collaborative team. Strong interpersonal skills and resourcefulness. Flexibility, collegiality, a sense of humor and a commitment to professionalism. Must be able to effectively manage stress in a fast-paced environment.
