General Counsel Duties: Responsible for developing and implementing the legal strategy for the organization, including, contract negotiation and formation, corporate compliance, claims and litigation management, supervision of outside counsel, and corporate organization and governance in alignment with our organizational mission, vision, values and culture. Reporting to the Chief Financial and Administrative Officer with a dotted line to the Chief Executive Officer and Audit Committee Chair, the General Counsel is accountable for promoting and managing best practices for risk management, including building and maintaining key stakeholder relationships throughout the organization while effectively managing costs. Partner with senior leaders to develop and oversee risk management practices through the organization, inclusive of partnering with the Audit Committee and managing the development and promulgation of risk management training. Responsible for all corporate compliance, inclusive of corporate licensing and state and local submittals, and associated recordkeeping. Negotiate contracts with funders, customers, subcontractors, vendors, and service providers. Effectively manage ongoing potential claims and litigation with senior leaders, insurance partners, and outside counsel in a cost-effective and timely manner. Partner with senior leaders to resolve potential disputes prior to becoming claims. Assist in managing the insurance portfolio, excluding employee benefits, including establishment of appropriate coverage types and limits based on ongoing business risk analysis as well as managing the claims notification process. Cultivate and manage key organizational relationships with pro bono law firms across the country. Allocate pro bono legal resources across the organization, as needed, to obtain specialized assistance on legal matters. Advise senior leaders on legal strategy/risk in the context of everything from daily operations to organizational change and crisis management. Provider leadership for long-term projects with legal components, such as oversight of real estate transactions, improvement of various internal processes and generally promoting a culture of legal responsibility and awareness. Partner with human resource team on matters related to personnel, workplace policies, and employment compliance issues and claims. Manage legal issues related to the protection of intellectual property and brand assets, including oversight of trademark portfolio and confidentiality protection policies. Support activities of the Clerk of the Corporation and fill role as Assistant Clerk. Manage other projects as required.

Qualification and Experience

Qualifications: 7-10 years of experience in general corporate legal practice. Professionally licensed by Massachusetts State Bar; license in good standing. Knowledge of and/or experience with non-profit organizations is an advantage. Ability to work with senior leadership and to develop strong business partnerships and relationships. Highly responsive and customer-oriented with strong problem solving ability and the capacity to balance multiple projects. Excellent interpersonal and persuasive written and verbal communications skills, including negotiation and influencing skills. Ability to deftly integrate the legal function with the business function, balancing the need for effective legal risk management and strong transaction quality, with the need to advance City Year’s mission.
