BAE Systems appoints new GC and Chief Counsel
The Electronics & Integrated Solutions group of BAE Systems has appointed Mark Haley as the new Vice President and General Counsel. Previously, he served as the Vice President and Deputy General Counsel at General Dynamics. At BAE, Haley will be responsible for advising on all legal areas for the group. Additionally, Susan Lowenstam has been appointed Chief Counsel for the National Security Solutions and Center for Transformation units based in San Diego. Lowenstam joined the company in 2003 and was General Counsel for BAE Systems' Platform Solutions in Los Angeles. BAE Systems is an international company delivering a full range of products and services for air, land, and naval forces, as well as advanced electronics, information technology solutions, and customer support services.
Change of names for subsidiaries of AREVA
The change of names from COGEMA, Inc., to AREVA NC, Inc. (nuclear cycle), and Framatome-ANP, Inc., to AREVA NP, Inc. (nuclear power), fully integrate the AREVA name and brand to both customers and the public. This change reinforces that it is the leading U.S. nuclear energy vendor and a key player in the electricity-transmission and -distribution sector. AREVA is engaged in making energy available to all, protecting the planet, and acting responsibly towards future generations—the greatest challenges of the 21st century.
Callas appointed new GC at Modern Woodmen
Darcy Callas will replace C. Ernest Beane on Modern Woodmen of America's board of directors, effective April 1. Callas joined Modern Woodmen in 1983, served as Assistant General Counsel since 1994, and is now slated to become the new General Counsel. Founded in 1883 as a fraternal benefit society, Modern Woodmen of America offers financial services and fraternal member benefits to individuals and families.
Mercury announces new GC
Sandra Escher has been named Senior Vice President and global General Counsel of Mercury. Previously the Senior Vice President and General Counsel of Silicon Graphics, Inc., Escher is highly experienced in corporate, securities, business practice, and intellectual property law, as well as mergers and acquisitions. Mercury is the global leader in business-technology-optimization software and one of the largest enterprise-software companies today.
SEC seeks greater transparency on compensation
In January, Securities and Exchange Commission (SEC) presented the proposal that companies reveal their total compensation packages. Currently under a 90-day comment period, the proposal, if implemented, will compel companies to add a special section titled "Compensation Discussion and Analysis" in all public filings. This section will include a three-year compensation history of its CEO, CFO, and the next three highest-paid executives. This comes in the wake of many companies violating the existing rules on compensation disclosure, which were issued in 1992. Most of them mention only salaries in their public filings, which are a relatively small part of the overall compensation, and hide major details like retirement benefits and stock awards.
Mull is new GC at Potlatch Corporation
Pamela A. Mull is the new Vice President and General Counsel of Potlatch, replacing Ralph M. Davisson, now retired. Pamela was previously the Assistant Vice President, Assistant General Counsel, and Assistant Secretary for five years at Amfac, Inc. Potlatch Corporation is a real estate investment trust that owns and manages 1.5 million acres of timberlands located in Arkansas, Idaho, and Minnesota and a 17,000-acre hybrid poplar plantation in Oregon.
Cunnane joins ATV
Deirdre Cunnane has joined Advanced Technology Ventures (ATV) as its General Counsel. Previously with BancBoston Ventures, Cunnane brings more than 16 years of legal experience in venture capital, investments, and private equity issues. At ATV, she will be involved with all legal activities regarding investments, fund management, and corporate matters. ATV is a bi-coastal venture capital firm with more than $1.4 billion in capital and invests in information technology and healthcare companies.
